Terms of Service

These Terms ("Terms") are a legal agreement between you ("you", "Customer") and DropZillaAI ("we", "us") covering your use of the DropZillaAI desktop application and related services. By installing the app, creating an account, or paying for a subscription you agree to these Terms.
Please read clauses 7 (subscription + auto-renewal), 10 (cancellation), and 12 (liability) carefully — they affect your legal rights.
1. Definitions
- "App" — the DropZillaAI Windows desktop software you download from us.
- "Service" — the account server (login + subscription management) we run.
- "Subscription" — your paid plan (Basic / Pro / Enterprise) — or Free tier.
- "Your Credentials" — your eBay / AliExpress / OpenAI API keys, which remain on your own machine at all times.
2. Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on Windows devices linked to your account, up to the device limit of your Subscription tier. You may not:
- Redistribute, resell, sublicense, or lease the App
- Reverse-engineer, decompile, or attempt to extract source code (except as UK law permits for interoperability)
- Remove or alter our branding, copyright notices, or licence text
- Use the App to do anything illegal, or in any way that breaks eBay's, AliExpress's, or OpenAI's terms of service
If you break any of these, your licence ends immediately and we may terminate your account.
3. Your Credentials
DropZillaAI is a bring-your-own-keys product. You obtain your own credentials from eBay, AliExpress, and OpenAI; you are responsible for keeping them secure and for any costs or actions taken using them.
You acknowledge that:
- API rate limits, eBay/AliExpress/OpenAI billing, and platform penalties are your responsibility.
- We cannot access your credentials. If you lose them, we cannot retrieve them — you will need to obtain new ones from the relevant platform.
- You are responsible for the listings you create and any sales you make.
4. Eligibility + account
You must be at least 18 and legally able to form a contract. You agree to provide a real email address, and to keep your account login details confidential. You are responsible for any activity under your account.
5. Acceptable use
You agree that you will not:
- Scrape, crawl, or mass-extract data from third-party sites in breach of their terms
- Use the App for listings that violate applicable law (counterfeit goods, prohibited products, etc.)
- Attempt to interfere with our infrastructure (DDoS, credential stuffing, brute force)
- Share your account with others or use one account for multiple businesses
6. Pricing, free tier, and taxes
Subscription prices are shown at https://dropzillaai.co.uk/pricing. Prices include UK VAT where applicable.
- The Free tier is offered at no charge. We may change or withdraw the Free tier with 30 days' notice, but existing Free accounts are not auto-billed.
- Paid tiers bill monthly or annually depending on the plan you pick.
- VAT-registered customers outside the UK may be charged under the reverse-charge mechanism; we will show this clearly at checkout.
7. Auto-renewal + pre-renewal reminders (UK Digital Markets, Competition and Consumers Act 2024)
Paid subscriptions automatically renew at the end of each billing period unless you cancel. This clause explains how that works under the Digital Markets, Competition and Consumers Act 2024 ("DMCCA"):
- At signup, you will tick a clear auto-renewal checkbox acknowledging that your Subscription will auto-renew, and that you can cancel any time.
- Before each renewal, we will email you a pre-renewal reminder at least 14 days in advance, containing:
- The renewal date
- The amount that will be charged
- A one-click link to cancel without charge
- For annual plans (or longer), you have a fresh 14-day cooling-off period at each renewal during which you may cancel for a full refund.
- Cancellation is easy. You can cancel any time from the "Billing" page in the App or by emailing support@dropzillaai.co.uk. We will never require you to phone us, raise a support ticket, or jump through extra hoops.
8. Payment
Payments are processed by Stripe. By paying you agree to Stripe's terms of service. We do not store your full card details. If a payment fails, we will retry up to three times within seven days, then suspend your Subscription until the balance is cleared.
9. Cooling-off period (14 days, statutory)
Under the UK Consumer Contracts Regulations, you have a 14-day cooling-off period from the day you first sign up to cancel for a full refund. Because the App starts working immediately, you expressly consent to supply beginning immediately — but this does not remove your 14-day right to cancel. If you cancel within 14 days, we will refund the full fee (minus any pro-rata amount for days actually used, rounded down).
Outside the 14-day window, paid Subscriptions are non-refundable except where required by law.
10. Cancelling your Subscription
You can cancel at any time:
- In the App: Billing → Cancel subscription
- Or by emailing support@dropzillaai.co.uk
On cancellation, your Subscription remains active until the end of the billing period you've already paid for, then drops to Free tier (or locks, if on a paid-only plan). No further charges will be taken. Your data in %APPDATA%\DropZillaAI\ remains yours — it is never deleted by us because it was never on our servers.
11. Updates, changes, and service availability
We may release updates and new features as part of your Subscription. We aim for uptime of the account-server side, but we do not guarantee uninterrupted service. The App itself runs on your own computer and will keep working during our server downtime for a reasonable grace period, using cached credentials.
12. Warranty + liability
The App is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all implied warranties (merchantability, fitness for a particular purpose). To the extent we cannot exclude a statutory warranty, our liability for breach of it is limited to the remedies required by law.
Cap on liability: except for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under UK law, our total liability to you under or in connection with these Terms in any 12-month period is limited to the total amount you paid us for the Subscription in that 12-month period, or £100, whichever is higher.
We are not liable for:
- Business losses, loss of profits, loss of customers, loss of goodwill, or loss of data — except where such losses are the direct and foreseeable result of our breach of these Terms
- Losses caused by eBay, AliExpress, OpenAI, Stripe, or any other third party acting outside our reasonable control
- Losses caused by you using the App in breach of these Terms or the third-party platforms' own terms
13. Termination by us
We may suspend or terminate your Subscription immediately if you:
- Materially breach these Terms (including clauses 2, 3, or 5)
- Fail to pay for more than 14 days after reminders
- Use the App for fraud, illegal activity, or anything that exposes us to regulatory risk
- Have your payment charged back without first trying to resolve the issue with support
On termination we will refund any pre-paid unused portion of your Subscription unless the termination was for cause in the first bullet above.
14. Intellectual property
All intellectual property in the App, the Service, and our branding belongs to us or our licensors. All intellectual property in your listings, product data, and business records belongs to you.
15. Changes to these Terms
We may change these Terms to reflect new features, new laws, or security improvements. We will:
- Give at least 30 days' notice by email for material changes
- Post the updated version at

16. Governing law + jurisdiction
These Terms are governed by the law of England and Wales, and any dispute is subject to the exclusive jurisdiction of the English courts. If you are a consumer, you retain the benefit of any mandatory consumer-protection laws in your country of habitual residence.
